Master service agreement (MSA)
A master service agreement establishes overarching terms governing the relationship between buyer and supplier, with individual work orders, statements of work, or purchase orders specifying project details under the MSA umbrella. This structure streamlines ongoing relationships by negotiating standard terms once, then focusing subsequent discussions on scope and pricing.
Examples
Professional services MSA: A company executes an MSA with a consulting firm covering confidentiality, intellectual property, indemnification, insurance requirements, and liability limits. Each engagement is then defined in a statement of work referencing the MSA, specifying scope, deliverables, timeline, and fees.
Maintenance services MSA: An MSA with a facilities management company establishes service standards, personnel requirements, pricing frameworks, and governance. Specific site contracts or service orders under the MSA define location-specific requirements.
Contract manufacturing MSA: A manufacturing services MSA covers quality requirements, inventory ownership, intellectual property, capacity commitments, and termination provisions. Product-specific terms are added through product annexes.
