Terms of Service Agreement

Please read these Terms of Service (“Terms”) carefully before using the service offered by LightSource Labs Inc. (“LightSource”). These Terms are by and between LightSource and the entity on whose behalf the individual accepting this Agreement accepts this Agreement (“Customer”), and by creating and configuring an account for use of the Service—whether by clicking “I accept” through LightSource’s online process or by executing a copy of these Terms with LightSource—Customer agrees to be bound by this Agreement to the exclusion of all other terms. If Customer does not agree to all Terms, Customer must not use the Service.

Overview of Services

The LightSource Services provide an online platform for assessing, publishing, and sharing information relating to buyers and suppliers in the supply chain ecosystem. This includes supplier availability, requests for quotes, sourcing decisions, sales opportunities, and other uploaded materials (collectively referred to as “Content”).

LightSource customers fall into three categories:

  • Free Users: Free account registrants, including Beta users, with limited features.

  • Subscribers: Paid users with services defined in Order Forms.

  • Authorized Users: Individuals authorized to access the Service on behalf of a Free User or Subscriber.

All are collectively referred to as Customers.

1. Scope of Service; Term

1.1 Upon execution, each Order Form becomes part of this Agreement. Subject to compliance, Customers receive a limited, non-exclusive, non-transferable license to use the Services internally for business purposes.

1.2 All rights not expressly granted are reserved by LightSource.

1.3 Customers may not misuse the Services, reverse engineer software, share access, or violate applicable laws.

1.4 The Term is defined in the Order Form for Subscribers; Free Users may use the Service until LightSource discontinues access.

1.5 After termination, LightSource will make Customer Data available for 30 days, after which it may be deleted.

1.6 Customers are responsible for safeguarding their login credentials.

1.7 LightSource may update or modify the Service at its discretion.

2. Account Registration

All users must register with accurate information and are prohibited from impersonation or deceptive usernames.

3. Subscriber Fees

Fees are due as defined in the Order Form, non-refundable unless specified, and late payments may incur a 15% monthly finance charge.

4. Content and Feedback

LightSource requires certain licenses to provide services.

4.3 Customers grant LightSource and other users (if shared) royalty-free, irrevocable licenses for use of Content consistent with platform functionality.

4.5 Feedback submitted may be used freely by LightSource without obligation or confidentiality.

5. Confidentiality and Proprietary Rights

Both parties agree to protect each other’s Proprietary Information.

  • Customer retains ownership of their data and brand assets.

  • LightSource retains ownership of its technology, software, and intellectual property.

  • LightSource may use aggregated, anonymized data to improve services.

6. Warranty and Disclaimer

The Service is provided “as is” with no warranties beyond those stated in this Agreement. Customers are responsible for compliance with export laws and regulations.

7. Indemnification

LightSource will indemnify Subscribers for third-party IP infringement claims arising from authorized use. Subscribers indemnify LightSource for content violations, misuse, or third-party claims.

8. Limitation of Liability

Neither party is liable for indirect, incidental, or consequential damages. Aggregate liability is capped at the total paid to LightSource in the past 12 months.

9. Miscellaneous
  • Survival: Sections 1.5, 4–9 survive termination.

  • Assignment: Parties may assign rights in cases of mergers or affiliates.

  • Force Majeure: Performance delays due to uncontrollable events are excused.

  • Entire Agreement: This document supersedes prior agreements.

  • Modification: Terms may be updated; continued use constitutes acceptance.

  • Third-Party Content: LightSource is not responsible for external products or services.

  • Publicity: Customer agrees to reasonable participation in case studies.

  • Governing Law: Delaware law applies, with arbitration in San Francisco, CA.

Service Level Agreement (SLA) & Support

LightSource aims for 99.9% uptime and provides standard support. Downtime credits:

Customers must report downtime within 72 hours for credits. Support contacts must be designated by the Customer.
